9.1 Meaning of Assembly, Meeting, Conference, and Seminar
Organizations make collective decisions and share ideas through structured gatherings:
| Type of Gathering | Nature, Participants & Purpose | Examples |
|---|---|---|
| 1. Assembly | A large formal gathering of all general members, shareholders, citizens, or students to hear announcements, elect representatives, or approve broad policies | School Morning Assembly, Municipal Assembly, General Assembly of a Cooperative or NGO |
| 2. Meeting | A formal gathering of two or more authorized members of a committee, board, or organization at a pre-notified date, time, and venue with a specific Agenda to discuss issues and pass binding Resolutions | Board of Directors Meeting, School Management Committee (SMC) Meeting, Departmental Staff Meeting |
| 3. Conference | A large-scale, often multi-day formal convention bringing together delegates from various branches, professions, or nations to deliberate on broad regional, national, or global themes | SAARC Summit, National Teachers’ Conference, International Climate Change Conference |
| 4. Seminar / Workshop | An academic, technical, or professional gathering where subject-matter experts present research papers (Working Papers) on a specific topic, followed by interactive discussion and conclusions | Seminar on New Government Accounting System (CGAS) for accountants, SEE Curriculum Orientation Workshop |
9.2 Types of Meetings
Depending on frequency, participants, and legal requirements, meetings are classified into the following major types:
- Regular / Committee / Periodic Meeting: Held at fixed, pre-scheduled intervals (e.g., weekly, monthly, or quarterly) as prescribed by organizational rules to review ongoing work and approve routine expenditures.
- Urgent / Emergency Meeting: Convened at very short notice whenever an unexpected crisis, natural disaster, or urgent policy matter arises that cannot wait until the next regular meeting.
- Board / Executive Committee Meeting: Held by the elected Board of Directors of a company or Executive Committee of an institution to formulate strategies, appoint senior staff, and approve budgets.
- Annual General Meeting — AGM: A statutory meeting held once every fiscal year by a Joint Stock Company, Cooperative, or registered association in which all shareholders/members participate to:
- Approve the Annual Financial Statements (Balance Sheet and Profit & Loss Account) and Auditor’s Report.
- Declare Dividends to shareholders.
- Elect members of the Board of Directors.
- Appoint the Statutory Auditor for the upcoming fiscal year and fix their remuneration.
- Extraordinary / Special General Meeting — EGM: Convened by the Board of Directors (or on the written requisition of a specified percentage of shareholders) between two Annual General Meetings to decide urgent special business—such as amending the Memorandum/Articles of Association, issuing bonus/right shares, or merging the company.
- Unilateral, Bilateral, and Multilateral Meetings:
- Unilateral: Internal meeting of members of a single department or organization.
- Bilateral: Meeting between representatives of two organizations or two countries (e.g., Nepal–India Commerce Secretary-level trade talks).
- Multilateral: Meeting involving representatives from three or more organizations or nations (e.g., BIMSTEC or WTO ministerial meetings).
- Secret / In-Camera Meeting: Held behind closed doors by top security officials, cabinet ministers, or central bank governors to decide highly sensitive matters (e.g., national security, monetary policy rates, or exam question moderation) whose minutes are kept strictly confidential until officially implemented.
9.3 Essential Requisites of a Valid Meeting
For the decisions (resolutions) of any meeting to be legally valid, three elements are indispensable:
- Pre-Notice of Meeting: A written notice informing all eligible members of the exact date, day, time, and venue of the meeting must be sent well in advance (e.g., 21 days’ notice for a company’s Annual General Meeting in Nepal).
- Agenda: An ordered list of specific topics or proposals to be discussed and decided in the meeting, circulated along with the meeting notice so members can come prepared.
- Quorum: The minimum percentage or number of eligible members who must be physically present at the meeting before proceedings can legally begin and pass valid resolutions (typically more than 50%, such as 51% or two-thirds of total members).
9.4 Minutes of a Meeting and Endorsement
Minutes are the official, concise, and chronological written record of the attendance, discussions, and final decisions (Resolutions) passed at a formal meeting, recorded in a bound Minute Book and signed by the Chairperson and all attending members.
Structure of a Standard Minute in Nepal
A formal Minute consists of four sequential sections:
- Heading / Preamble: States the date, day, time, venue, type of meeting, and the name and designation of the Chairperson presiding over the meeting.
- Attendance Record: Lists the names, designations, and signatures of all attending members, guests/invitees, and the member-secretary.
- Agendas for Discussion: Lists each numbered agenda item placed before the meeting.
- Resolutions / Decisions and Closing Signatures: Records the exact decision passed for each agenda item, followed by the closing note and signatures confirming the decisions.
